Terms & Conditions

These Terms govern your access to and use of the Bina Board platform. Please read them carefully — by using the service you agree to be bound by them.

1. Acceptance of Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "your", the "User") and Bina Board ("Bina Board", "we", "us", "our"), governing your access to and use of the Bina Board websites, portals, mobile applications, and all related services (together, the "Platform").

By creating or being provisioned an account, signing in, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Platform. Your continued use after we publish updated Terms constitutes acceptance of the revised Terms.

2. The Platform & Our Role

Bina Board is a multi-tenant software platform that lets residential communities, unions, and property developers manage billing, tickets, facility bookings, a resident marketplace, governance, bulletins, and related operations. We provide the technology; your community's union administrator manages the day-to-day operation of your community on it.

We are a technology provider, not a party to your transactions

We are not a landlord, union, broker, agent, escrow, or payment processor for your community. Maintenance charges, booking fees, marketplace sales between residents, and governance decisions are set, made, and carried out by community administrators and residents — not by Bina Board. We do not own, control, verify, or guarantee any such charge, listing, payment, or decision, and are not responsible for its outcome.

3. Eligibility & Accounts

To use the Platform you must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. Accounts are provisioned by your community's administrator or by the platform operator — you may not create an account you are not authorised to hold, or impersonate another person or entity.

Your role and access (for example, Union Admin, Owner, Resident, or Vendor) are granted per community and may be changed, suspended, or withdrawn by the responsible administrator or by us. You agree to provide accurate, complete, and current information and to keep it up to date. Access to another community's data is strictly prohibited.

4. Account Security

  • You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
  • You must change any one-time password on first sign-in and choose a strong, unique password.
  • Notify us immediately at [email protected] if you suspect any unauthorised access to or use of your account.
  • We will never ask you for your password by email, phone, or message. Any such request is fraudulent and should be reported.

5. Acceptable Use

You agree to use the Platform only for its intended purpose, lawfully, and in line with your community's rules. In particular, you agree to:

  • Provide accurate information in bills, payment claims, tickets, listings, bookings, and other records you submit.
  • Respect the privacy of other residents, staff, and vendors, and use their contact details only for legitimate community purposes.
  • Keep marketplace listings, comments, and messages honest, relevant, and free of unlawful or infringing content.
  • Comply with all applicable laws and with any additional rules set by your community's administrators.

6. Prohibited Conduct

The following are strictly prohibited and may result in immediate suspension or termination and referral to the relevant authorities:

  • Using the Platform for any unlawful, fraudulent, or deceptive purpose, including money laundering or misrepresenting a payment, charge, or listing.
  • Harassing, threatening, defaming, impersonating, or discriminating against any user, resident, staff member, vendor, or administrator.
  • Posting content that is unlawful, obscene, infringing, or that you do not have the right to share — in the marketplace, tickets, messages, bulletins, or anywhere else.
  • Attempting to access, disrupt, or interfere with the Platform, another community's data, or its security or access controls.
  • Introducing malware, scraping or bulk-extracting data with automated tools, or reverse-engineering the Platform, except as permitted by law.
  • Circumventing fees, quotas, verification, or moderation, or using another person's account without authorisation.

7. User Content & Community Transactions

You retain ownership of the content you submit (for example, marketplace listings, photos, comments, and messages). By submitting content, you grant Bina Board and your community a non-exclusive, royalty-free licence to host, store, display, and process it for the purpose of operating the Platform and running your community. You are solely responsible for the content you submit and confirm you have the rights to share it.

Transactions and interactions between users — such as a resident-to-resident marketplace sale, a vendor engagement, or a dispute — are solely between those parties. We do not verify listings or users beyond any moderation tools provided to administrators, and we are not responsible for the quality, safety, legality, or completion of any transaction. Exercise appropriate caution, verify the other party, and never share sensitive financial details through in-platform messaging.

8. Fees & Billing

Maintenance charges, late fees, booking fees, VAT, and other amounts shown to residents are configured and levied by your community's administrators, not by Bina Board. Any question or dispute about a specific charge, receipt, or refund must be raised with your community administrator.

Any subscription or platform fees payable by a community to Bina Board are governed by the separate commercial agreement between us and that community. Where payments are processed by a third-party provider, that provider's terms also apply; Bina Board does not store full card numbers or security codes.

9. Intellectual Property

The Platform, its software, source code, design, user interface, databases, and the Bina Board name and logo are owned by or licensed to Bina Board and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, publish, sublicense, reverse-engineer, or create derivative works from any part of the Platform without our prior written consent.

10. Third-Party Services

The Platform may rely on or link to third-party services (for example, payment, email, hosting, or infrastructure providers). We are not responsible for the content, policies, or practices of those third parties, and your use of them may be subject to their own terms.

11. Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that any information within it (including amounts, listings, or records entered by users) is accurate or complete. Scheduled and emergency maintenance may cause temporary downtime.

12. Limitation of Liability

To the fullest extent permitted by law, Bina Board and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Platform, any user content, or any transaction, decision, or dispute between users.

Where our liability cannot be excluded, it is limited to the amount (if any) paid by you to Bina Board for the Platform in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Bina Board and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or applicable law, the content you submit, or any transaction or dispute between you and another user.

14. Suspension & Termination

We or your community's administrator may suspend or terminate your access at any time, with or without notice, if you breach these Terms or applicable law, if your account is used fraudulently or to harm others, or where required by a lawful authority. In line with our data-handling practices, community records are generally retained rather than hard-deleted, so accounts and history remain auditable after access ends.

Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — continue to apply after your access ends.

15. Force Majeure

Bina Board is not liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, pandemics, war, civil unrest, government action, power or telecommunications failures, or cyberattacks. We will make reasonable efforts to restore service and to notify users of extended disruptions.

16. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which your community is established, without regard to its conflict-of-laws rules, and subject to any mandatory local consumer-protection or data-protection law that applies to you. Before starting any formal proceedings, you agree to contact us first so we can try to resolve the matter informally.

Any dispute that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction. Disputes between users are solely between those parties; Bina Board has no obligation to mediate or resolve them.

17. Changes to These Terms

We may amend these Terms from time to time to reflect changes in the Platform, the law, or our practices. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.
